Terms of Service

These Terms of Use ("ToU") form a binding legal agreement between NM Technology LLC trading as Caishen ("Caishen," "we," "us," or "our") and you ("you" or "User"). These ToU govern your use of the Caishen platform, including our software development kits (SDKs), APIs, documentation, and associated developer tools (collectively, the "Caishen SDK" or "Services").

Acceptance of Terms

By accessing or using the Caishen SDK, you agree to be bound by these ToU. You also agree to our Privacy Policy and, where applicable, the terms and policies of third-party service providers integrated through our Services.

Description of Services

Caishen provides SDKs and APIs for developers to create and manage multi-chain crypto wallets within their applications. Caishen is not a custodial wallet provider; it does not store or control user funds. It enables non-custodial wallet functionality for chains such as Ethereum, Solana, Sui, Bitcoin, and others. Developers are responsible for integrating and securing the SDK appropriately.

Third-Party Services

Our SDKs may provide integrations with third-party services (e.g., LI.FI for swaps). Your use of these third-party services is governed by their respective terms. Caishen is not responsible for the content or performance of these services.

User Responsibilities

• You agree to use the Services only for lawful purposes.
• You will not attempt to reverse-engineer, exploit, or abuse the SDKs.
• You are solely responsible for the secure handling of cryptographic keys generated through your integration of the Caishen SDK.
• You will promptly notify us at [email protected] of any security incidents.

Intellectual Property

All intellectual property rights in the Caishen SDK remain the property of NM Technology LLC. You are granted a limited, non-exclusive, non-transferable license to use the SDK solely in accordance with these ToU.

Limitation of Liability

To the maximum extent permitted by applicable law, Caishen shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our aggregate liability under these ToU shall not exceed the greater of the amount you paid us (if any) for the Services or $100.

Indemnification

You agree to indemnify and hold harmless Caishen, its affiliates, and their respective officers, employees, and agents from any claims, liabilities, damages, and expenses arising out of your use of the Services or violation of these ToU.

Termination

We may terminate or suspend your access to the Services at any time, with or without cause. Upon termination, all rights granted to you under these ToU will immediately cease.

Governing Law

These ToU are governed by and construed in accordance with the laws of the State of New York. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Marshall Islands.
